ESG and Green Finance
We have extensive experience advising both lenders and borrowers on ESG financing linked to the sustainability performance of companies doing business in various sectors of the economy, including metallurgy and gold mining. We closely follow the active development of this type of financing in Russia and are always happy to share our accumulated knowledge.
Our team has extensive experience in advising lenders and borrowers (both in Russia and abroad) on financial debt restructuring, which includes dealing with defaulted or pre-defaulted situations (including bankruptcy analysis), as well as renegotiating the terms and models of financing in connection with corporate restructuring and corporate migration (both within the Russian Federation and from one offshore jurisdiction to another).
We have unique experience in supporting syndicated lending transactions governed by Russian law. We have advised clients on these transactions both before and after the entry into force of the Federal Law on Syndicated Loans and the appearance of a standard syndicated loan agreement introduced by the Association of Regional Banks of Russia. Our experience has enabled us to make a significant contribution to the preparation and improvement of these documents.
We have also advised on syndicated lending transactions governed by English law for many years, which enables us to assist our clients in resolving any issues arising in connection with such transactions, as well as to successfully apply the relevant experience to the Russian realities, including the "transformation" of such syndications into transactions governed by Russian law.
For over 15 years, our lawyers have advised clients on all matters relating to project finance transactions in Russia and abroad. We have extensive experience developing structures to meet the requirements of both the project company and sponsors, as well as those of lenders, including export credit agencies. The solutions we offer are always tailored to the specifics of a given project. Our excellent knowledge of Russian law and the best Russian and international project finance practices allows us to find compromises and propose solutions that protect the interests of lenders, on the one hand, and are commercially acceptable to the borrower and sponsors, on the other.
Our team has considerable experience supporting projects under the Project Finance Factory programme. We have been part of this programme since its inception and continue to represent lenders, project companies and sponsors in its most significant projects.
In addition, together with our colleagues from the relevant practice, we also advise clients on all financial aspects of PPP and infrastructure projects.
Real Estate Finance
We provide legal support to for financing of all types of real estate finance transactions, including during the construction and operation phases. Our many years of experience in this area include advising on matters related to raising and granting bilateral and syndicated loans to finance the acquisition and construction of commercial and retail real estate, warehouses and housing. Our lawyers' professional qualifications allow them to participate in projects at the structuring stage, including developing the most optimal strategies for securing financing (including mortgages and the pledge of shares in offshore holding companies) and analysing issues related to land titles, permits and other similar aspects.
